Terms of Service

These terms explain the rules for using StorePilot software, subscriptions, support, installation, and POS hardware.

StorePilot is a product of Softedge Technologies Ltd. In this document, “StorePilot,” “Softedge,” “we,” “us,” and “our” refer to Softedge Technologies Ltd.

Acceptance of these terms

These Terms of Service form an agreement between Softedge Technologies Ltd. and the business or person that purchases, accesses, or uses StorePilot. By creating an account, accepting a quotation, paying an invoice, or using the service, you confirm that you are authorized to accept these terms for yourself or your organization.

If a signed agreement or accepted quotation conflicts with these terms, the signed agreement or quotation controls for that specific conflict.

The StorePilot service

StorePilot provides point-of-sale, inventory, purchase, customer, supplier, account, reporting, branch, permission, and related business-management features. Available features, usage limits, users, and branches depend on the selected plan or written quotation.

We may improve, update, replace, or discontinue features. We will use reasonable efforts to provide advance notice when a material change significantly reduces core paid functionality.

Accounts and authorized users

You must provide accurate account information and keep it current. You are responsible for activity under your account, including actions by administrators, employees, contractors, and other authorized users.

  • Keep passwords and login details confidential and use reasonable device security.
  • Assign access according to each user’s responsibilities and promptly remove access when it is no longer needed.
  • Notify us promptly if you suspect unauthorized access, credential theft, or misuse.
  • Do not share one user account between multiple people where the applicable plan requires named users.

Your data and responsibilities

You retain ownership of business data submitted to StorePilot. You grant Softedge the limited rights needed to host, process, back up, transmit, and display that data to provide and support the service.

You are responsible for the accuracy, legality, quality, and source of your data; for obtaining necessary permissions and notices; and for configuring users, branches, taxes, prices, accounts, and reports correctly. StorePilot reports support business decisions but do not replace professional accounting, tax, or legal advice.

Acceptable use

You may use StorePilot only for lawful business purposes and in accordance with your plan. You must not misuse the service or help anyone else do so.

  • Do not access accounts, data, systems, or features without authorization.
  • Do not upload malicious code, disrupt the service, evade security controls, or attempt to test vulnerabilities without written permission.
  • Do not copy, resell, sublicense, reverse engineer, scrape, or create derivative works from StorePilot except where applicable law expressly permits it.
  • Do not use StorePilot for fraud, unlawful surveillance, infringement, harassment, or the processing of prohibited content.

Plans, fees, and payment

Subscription, setup, installation, training, data import, travel, customization, and hardware fees are shown on the pricing page or an accepted quotation. You agree to pay invoices by their stated due date, together with applicable taxes or government charges.

Subscriptions renew for the selected monthly or yearly period unless cancelled before renewal. We may suspend paid features after reasonable notice if an undisputed payment remains overdue. Except where required by law or stated in writing, fees already paid are non-refundable.

POS hardware and installation

Hardware package contents, specifications, availability, delivery, installation, and warranty will be stated in the quotation or invoice. Equivalent components may be offered when a listed model is unavailable, but substitutions require customer approval.

Manufacturer warranties and any Softedge service warranty apply only for the period and conditions stated in writing. Warranty does not cover accidental damage, electrical problems, misuse, unauthorized repair, consumables, network failure, or software and accessories supplied by another party.

Support and availability

We provide onboarding and support according to your plan or quotation. Response and resolution times are targets unless a separate service-level agreement states otherwise.

We aim to keep StorePilot reliable, but uninterrupted availability is not guaranteed. Maintenance, internet or power failure, third-party services, security events, or circumstances beyond reasonable control may temporarily affect access. We will use reasonable efforts to restore service.

Intellectual property

StorePilot, including its software, design, branding, documentation, workflows, and underlying technology, is owned by Softedge Technologies Ltd. or its licensors. These terms grant you a limited, non-exclusive, non-transferable, revocable right to use StorePilot during an active subscription for your internal business operations.

If you provide feedback or suggestions, we may use them without restriction or payment, provided we do not publicly identify you without permission.

Confidentiality

Each party may receive non-public business, technical, pricing, or security information from the other. The receiving party will use reasonable care to protect that information and use it only for the relationship, except where disclosure is authorized or legally required.

Cancellation, suspension, and termination

You may stop renewal by notifying us before the next billing date. We may suspend or terminate access for material breach, unlawful use, security risk, or overdue undisputed fees. Where reasonably possible, we will provide notice and an opportunity to correct the issue.

After termination, your right to use StorePilot ends. On request and subject to account standing and technical feasibility, we may provide a standard export of available customer data. You should request export promptly because data may be deleted after a reasonable retention period.

Disclaimers

To the maximum extent permitted by law, StorePilot is provided on an “as available” basis. We do not warrant that every feature will be error-free, meet every business requirement, or produce results suitable for tax, accounting, regulatory, or legal filing without independent review.

Nothing in these terms excludes warranties, rights, or remedies that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, or consequential loss, or for lost profits, revenue, goodwill, or business opportunity arising from these terms.

Softedge’s total liability arising from StorePilot will not exceed the fees paid for the affected service during the six months before the event giving rise to the claim. This limitation does not apply where liability cannot legally be limited or to fraud or wilful misconduct.

Governing law and disputes

These terms are governed by the laws of Bangladesh. The parties will first try in good faith to resolve a dispute through direct discussion. If it cannot be resolved, the courts with jurisdiction in Dhaka, Bangladesh will have exclusive jurisdiction, unless applicable law requires otherwise.

Changes to these terms

We may update these terms to reflect changes to StorePilot, our business, or applicable law. We will post the updated terms and revise the date above. For material changes, we will provide reasonable additional notice. Continued use after the effective date means the updated terms apply.
